Terms and Conditions

1. Introduction
These Terms and Conditions ("Terms") govern your access to and use of automaani.com (the "Site") and any services provided by Automaani ("Automaani", "we", "us", or "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Services we offer
Automaani provides:
- Automation services (workflow automation, CRM integration, scheduling, content posting, and replacement of repetitive tasks)
- Website development (design and development of websites for small and medium-sized businesses)
- Chatbot integration (AI-powered chatbots embedded into client websites, dashboards, and products)
- WhatsApp automation (order confirmations, reminders, lead capture, broadcasts, and auto-replies via WhatsApp Business API)
- SaaS building and management (design, development, deployment, and ongoing maintenance of software-as-a-service products)
- Data analysis services (dashboards, reporting, forecasting, and analytics)
The exact scope, deliverables, timeline, and price for any engagement will be set out in a separate written quote, statement of work, or service agreement ("Engagement Terms"), which forms part of these Terms.
3. Use of the Site
You may browse the Site, submit enquiries, and book demos. You agree not to:
- Use the Site for any unlawful purpose or in violation of these Terms.
- Attempt to gain unauthorised access to the Site, its servers, or any connected system.
- Interfere with the Site's operation, security, or performance (including via automated scraping, denial-of-service attempts, or injection attacks).
- Submit false, misleading, or fraudulent information through any form.
- Use the Site to transmit malware, spam, or harassing content.
- Reproduce, copy, or republish material from the Site without our written permission.
We reserve the right to suspend or restrict access to the Site for anyone who breaches these Terms.
4. Booking a demo
When you submit a demo booking through the Site, you confirm that the information you provide is accurate and that you are authorised to provide it. A booking is a request, not a confirmation (we will reach out to confirm your slot, usually within a few hours). We may decline or reschedule a demo at our discretion.
5. Engagements and quotes
Any quote we provide is valid for 30 days from the date issued, unless stated otherwise. A quote becomes a binding engagement only once both parties have agreed in writing (email is sufficient) and any required deposit has been received.
Unless otherwise agreed:
- Deposit: A deposit of [PERCENTAGE, e.g. 30%–50%] is payable before work begins.
- Milestones: Payments are tied to milestones defined in the Engagement Terms.
- Final payment: Due on delivery, before final handover or production deployment.
- Currency: Invoices may be issued in NPR or USD, depending on the client's location.
- Taxes: Prices are exclusive of VAT, withholding tax, or any other applicable taxes, which the client is responsible for where required by law.
6. Scope and changes
Work is performed against the scope set out in the Engagement Terms. Any request that materially expands scope ("Change Request") will be quoted separately and requires written approval before we proceed. Small clarifications and reasonable iterations within scope are included; substantive new features are not.
7. Client responsibilities
To deliver well, we need your cooperation. You agree to:
- Provide timely access to accounts, credentials, content, brand assets, and any third-party services required for the project.
- Designate a single point of contact authorised to make decisions.
- Respond to questions and approval requests within a reasonable time (typically within 5 business days).
- Ensure that any content, data, or materials you provide do not infringe third-party rights and are lawful to use.
Project timelines assume timely client input. Delays caused by lack of access, information, or approvals may extend the timeline and, in some cases, the cost.
8. Intellectual property
Our pre-existing IP. Automaani retains ownership of all tools, frameworks, libraries, methodologies, and reusable components that exist before or independent of your engagement.
Project deliverables. On full payment, the client owns the final custom deliverables produced specifically for the engagement (code, designs, content, documentation), subject to:
- Any third-party components, which remain governed by their respective licenses (open-source or commercial).
- A perpetual, royalty-free license granted to Automaani to retain reusable, non-confidential know-how, snippets, and patterns for use in other projects.
Showcase rights. Unless you request otherwise in writing, Automaani may reference your project in our portfolio, case studies, and marketing materials, using your name, logo, and a non-confidential description of the work. We will not publish confidential information.
9. Confidentiality
Each party agrees to keep the other's confidential information confidential and to use it only for purposes of the engagement. "Confidential information" includes business plans, customer data, technical specifications, source code, financial information, and anything reasonably understood to be confidential. Obligations of confidentiality survive the end of the engagement for 3 years.
10. Warranties
We warrant that our services will be performed with reasonable skill and care, consistent with industry standards.
We do not warrant that:
- The services will be uninterrupted, error-free, or meet every expectation not explicitly written into the Engagement Terms.
- Third-party platforms, APIs, or services we integrate with will remain available, unchanged, or compatible.
- Specific business outcomes (revenue, traffic, conversions, rankings) will be achieved (we apply best practices, but outcomes depend on factors outside our control).
11. Support and maintenance
Unless explicitly included in the Engagement Terms, ongoing support, hosting, monitoring, and maintenance are not included after handover. We offer optional monthly retainers for these services, quoted separately. We provide a 30-day bug-fix window after delivery for defects in our work (excluding new feature requests and issues caused by third-party changes).
12. Limitation of liability
To the maximum extent permitted by law:
- Automaani's total aggregate liability arising out of or related to any engagement shall not exceed the total fees paid by the client for that engagement in the 6 months preceding the event giving rise to the claim.
- Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, revenue, data, business opportunity, or goodwill (even if advised of the possibility).
- Nothing in these Terms excludes liability for gross negligence, wilful misconduct, fraud, or any liability that cannot lawfully be limited.
13. Termination
Either party may terminate an engagement:
For convenience with written notice, in which case the client pays for all work completed up to the date of termination and any non-cancellable third-party costs.
For cause if the other party materially breaches these Terms or the Engagement Terms and fails to cure within 14 days of written notice.
On termination, we will deliver work-in-progress as it stands at termination, on payment of outstanding amounts. Sections that by their nature should survive (IP, confidentiality, liability, governing law) survive termination.
14. Refunds
Deposits are generally non-refundable, as they cover scheduling, planning, and initial work. Payments for work already performed are non-refundable. Refunds for undelivered scope may be issued at our discretion on a pro-rata basis.
15. Third-party services
Our work often integrates with third-party platforms (hosting providers, payment processors, messaging APIs, AI providers, analytics tools, etc.). You are responsible for any fees, subscriptions, or terms of service of those providers. We are not responsible for third-party outages, breaking changes, policy changes, or pricing changes.
16. Force majeure
Neither party is liable for delays or failure to perform due to events beyond reasonable control, including natural disasters, acts of government, internet or infrastructure outages, pandemics, war, or civil unrest. The affected party will notify the other promptly and resume performance as soon as reasonably possible.
17. Independent contractor
Automaani performs services as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between the parties.
18. Communications
By engaging us or submitting a form on the Site, you consent to receive operational communications by email, phone, or WhatsApp at the contact details you provide. Marketing communications are sent only with your consent and may be unsubscribed from at any time.
19. Governing law and dispute resolution
These Terms are governed by the laws of Nepal. The parties will attempt in good faith to resolve any dispute through direct discussion first. If unresolved within 30 days, disputes will be submitted to the exclusive jurisdiction of the courts of Kathmandu, Nepal, unless the parties agree in writing to arbitration.
20. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top will reflect the most recent revision. Continued use of the Site or engagement of our services after changes take effect constitutes acceptance of the updated Terms. For active engagements, the Terms in force at the start of the engagement continue to apply unless otherwise agreed in writing.
21. Severability and waiver
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right does not waive that right.
22. Entire agreement
These Terms, together with any Engagement Terms and our Privacy Policy, constitute the entire agreement between you and Automaani regarding the Site and our services, and supersede any prior agreements on the same subject matter.
